IMAGE/MEDIA LICENSING AGREEMENT

This Image Licensing Agreement (the "Agreement") is made and entered into on [date], by and between:

("Licensor") 

AND

("Licensee")

RECITALS

WHEREAS, Licensor is the owner of certain images and other visual media, including but not limited to photographs, illustrations, graphics and videos (the "Images");

WHEREAS, Licensee wishes to obtain a license to use certain Images owned by Licensor under the terms and conditions set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein, the parties agree as follows:

1. GRANT OF LICENSE

Licensor hereby grants Licensee a non-exclusive, non-transferable, and revocable license to use the following Images:

2. LICENSED USE

The Images may only be used for the following purposes:
Marketing, portfolio, website, awards and social media. 

3. LICENSE TERM

The term of this license shall commence on [date] and continue in perpetuity on a Royalty-Free basis unless terminated earlier in accordance with this Agreement. 

4. TERRITORY

This license is valid only in the following geographic territories:
Worldwide 

5. COMPENSATION

Licensee agrees to pay Licensor the applicable fee for the use of the Images. 

6. COPYRIGHT AND OWNERSHIP

Licensor retains all ownership and copyright in the Images. The license granted hereunder does not transfer any ownership rights to Licensee. 

7. RESTRICTIONS

Licensee shall not:
a) Modify, alter, or create derivative works from the Images without prior written consent from Licensor.
b) Use the Images in any unlawful, offensive, or defamatory manner.
c) sublicense, transfer, or assign the Images to any third party. 

8. CREDIT

Licensee agrees to provide appropriate credit for the Images in the following manner:

9. INDEMNIFICATION

Licensee agrees to indemnify and hold harmless Licensor from any claims, damages, losses, or expenses arising out of Licensee’s use of the Images. 

10. TERMINATION

Licensor may terminate this Agreement immediately if Licensee breaches any of the terms herein. Upon termination, Licensee shall cease using the Images and delete any copies in their possession 

11. GENERAL PROVISIONS

a) This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements or understandings.
b) Any amendments or modifications to this Agreement must be in writing and signed by both parties.
c) This Agreement is governed by and construed in accordance with the laws of British Columbia.
